Terms of Service
Please read these terms carefully. As a dedicated OEM/ODM manufacturer, our services are strictly governed by professional B2B standards.
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "Buyer," or "Company") and Nanjing Mfg. ("Manufacturer," "we," "us," or "our"), regarding your access to and use of our manufacturing services, website, and product development solutions.
By accessing our services or placing an order, you explicitly acknowledge that you are a business entity purchasing for commercial purposes (B2B). We do not sell to individual consumers for personal use.
2. Business Nature & Eligibility
Strictly B2B: Our services are exclusively designed for brands, wholesalers, distributors, and importers. We reserve the right to request business verification documents (such as business licenses or tax IDs) before accepting orders.
No Retail: We do not engage in retail sales. Any inquiries deemed to be for personal end-use will be declined to protect our wholesale partners.
3. OEM/ODM Manufacturing Process
3.1 Sample Approval
Mass production begins only after the Client has explicitly approved the pre-production sample (PPS). The approved sample serves as the definitive quality standard for the final shipment.
3.2 Tolerance
Due to the nature of industrial manufacturing, minor variations in color, finish, or dimensions within agreed industry standards (AQL 2.5/4.0) are considered acceptable.
4. Payment Terms
- Prices are quoted in USD unless otherwise specified and are valid for 30 days.
- Standard Term: 30% deposit via T/T is required to initiate production/tooling, with the remaining 70% balance due before shipment release.
- Tooling/Mold fees are non-refundable once the development process has commenced.
- We do not accept credit cards or consumer payment platforms for bulk manufacturing orders.
5. Intellectual Property (IP)
We respect and protect the intellectual property of our clients. Any designs, schematics, or molds provided by the Client for custom manufacturing remain the sole property of the Client.
Conversely, any pre-existing IP, standard product designs, or manufacturing technologies owned by Nanjing Mfg. remain our property. The Client is granted a license to sell the manufactured goods but does not acquire ownership of our underlying manufacturing processes.
6. Shipping & Risk
Unless otherwise agreed in writing, all shipments are EXW (Ex Works) or FOB (Free on Board) Nanjing/Shanghai.
7. Warranty & Liability
Limited Manufacturing Warranty
We warrant that products will be free from material defects in workmanship for a period of 12 months from the date of shipment. This warranty covers functional failures under normal use.
Exclusions: This warranty does not cover damage caused by misuse, unauthorized modification, improper storage, or normal wear and tear. Our liability is strictly limited to the replacement or repair of defective units and shall not exceed the purchase price of the specific batch.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these terms shall be resolved through friendly negotiation; failing that, they shall be submitted to the competent court in Nanjing, China.
